Subswell Terms of Service

Version 1.0 | Updated 4 November 2026

1. Parties and scope

These Terms apply to your use of Subswell from the time you actively accept them.

These Terms are between you and Bing Zhang, the individual operator of Subswell. Contact: subswell@outlook.com. “We” and “us” refer to Bing Zhang; “the App” refers to Subswell.

These Terms explain the rules for the App’s recordkeeping, reporting, account and reminder services. Personal information processing is explained separately in the Privacy Policy. Accepting these Terms does not mean that you consent to processing unrelated to the features you use, or replace separate consent where required by law.

For copies obtained through Apple’s App Store, the software licence is governed by Apple’s Standard End User Licence Agreement. These Terms supplement the service rules. They are not a replacement custom EULA and do not expand the software licence. Apple’s Standard EULA governs conflicts concerning software licensing; our specific privacy notices and applicable law govern personal information processing. No provision excludes rights that cannot legally be excluded.

Please read these Terms before accepting them, particularly the provisions on actual charges, renewal cancellation, data deletion and reminder limitations. If you disagree, you may decline to register an account or stop using the relevant services. Stopping use does not automatically invalidate lawful processing that has already occurred.

2. What the service does and does not do

The App helps you record subscription names, plans, costs, billing cycles, renewal dates and statuses, view spending analysis and receive reminders according to your settings.

The App is not a subscription provider’s payment or account system. It does not collect payments for the third-party subscriptions you record, read your bank statements or automatically verify whether a provider has actually charged you. Adding, changing or deleting a record does not send instructions to the relevant provider.

Recording a cancelled renewal, deleting a subscription, turning off reminders, signing out or deleting your Subswell account does not cancel a subscription with a third-party provider. You must still cancel through the platform where you purchased the service, the provider or Apple’s subscription management.

3. Accounts and on-device use

You can record subscriptions directly on your device. To retrieve records on another device, you can create an account using your own email on the registration page. Initial registration requires email verification. You may set a password at the same time or register using only an email verification code. Existing accounts can sign in with a password or email verification code, and can set or reset a password after verifying the original email address.

Keep your device, email and password secure. Enter verification codes only in the App. If you discover someone else using your account, contact us at the email in these Terms.

Subscriptions entered while signed out are stored on the device. After signing in, you can assign them to the current account using “Link existing subscriptions on this device”. Other accounts cannot claim them simply by switching sign-in.

Cloud sync is a membership feature. When you are signed in with an active membership, the current account’s subscription records sync automatically. Changes are saved on the device first, followed by an upload attempt. Signing into the same account on another device lets you retrieve uploaded records. If changes remain unuploaded before sign-out, you can retry or sign out while keeping the changes on the original device. With the latter choice, the new device may not yet show those changes. When different devices edit the same subscription, the last complete record successfully written to the cloud takes precedence.

4. Records, reports and exchange rates

Reports are based on the information you enter, recorded payments, refunds and plan changes, and the App’s billing-period calculations. For subscriptions scheduled to remain active, the App may record costs when due according to the entered schedule. Recording a cancellation, change or correction adjusts the relevant results.

“Monthly equivalent cost” compares ongoing subscription costs by converting annual and other billing cycles to a monthly average. “Monthly spending” groups costs by their billing periods in the relevant month. Planned future spending assumes that current schedules continue. These are different measures, and none is an actual bank transaction history or a provider’s invoice.

Cross-currency amounts depend on the reference exchange rate and date shown and may use cached rates. Rates are not guaranteed to be live transaction rates. Amounts do not include separate provider or payment-service fees, taxes, discounts or changes that have not been entered. Refer to actual bills.

The App provides recordkeeping and analysis tools, not personalized investment, tax or other advice requiring professional qualifications. You can contact us about apparent calculation errors. This provision does not remove our duty to correct product defects or liability imposed by law.

5. Renewal reminders and alarms

You can enable “Remind before renewal” and “Manually confirm subscription status” separately. The former reminds you before a renewal date; the latter prompts confirmation after that date of whether the subscription renewed, changed or was cancelled. The App continues recording costs according to the original schedule until confirmation. Receiving reminders requires the relevant system permissions.

Each device manages its own notification permissions and reminder schedule. Subscription dates and manual status-confirmation settings in your account sync with the records. After a date change or cancellation, the device updates future reminders using the records it receives.

Notifications or alarms may be affected by permissions, a powered-off device, system scheduling limits, time or time-zone changes, or delayed updates to the reminder schedule. The App schedules a limited range of upcoming reminders. It does not promise to keep scheduling indefinitely if you never reopen it, or guarantee that every reminder arrives on time. Do not rely on the App as your only safeguard against charges. These limitations do not exclude our liability for our own fault where imposed by law.

6. Icons, categories and third-party services

Brand icons, names and trademarks belong to their respective rights holders. Display does not imply a partnership, authorized operation or guarantee. Automatic icon matching and categorization may be inaccurate; you can correct them. You must have the right to use any custom images you select.

Online icon searches, account verification and exchange-rate queries may use third-party services. The Privacy Policy explains the data they receive. When you open a third-party page, that party’s service rules and privacy policy apply to the page. We remain responsible for our legal duties concerning our own selection of services and personal information processing.

7. Fees

The cost of third-party subscriptions you record is separate from the cost of using this App.

The free version lets you manage up to five active subscriptions. Historical subscriptions, recently deleted records and the automatically recorded Subswell membership subscription do not count towards that limit. Monthly and annual memberships provide the same benefits: unlimited active subscriptions, export of itemized bill records and account cloud sync. The price, currency and renewal period are those Apple shows when you purchase.

Monthly membership renews each month; annual membership renews each year. Your Apple Account is charged after purchase confirmation. Apple automatically renews membership for the chosen period. To avoid renewal, cancel at least 24 hours before the current period ends; Apple may process the renewal charge within the 24 hours before that period ends. Apple’s subscription process notifies you of price changes and requests confirmation where legally required. You can manage or cancel through iPhone Settings → Apple Account → Subscriptions. After cancelling renewal, access normally continues until the paid period ends. You can request a refund through Apple’s refund page, subject to Apple’s rules and local law, without affecting your statutory consumer rights. You can restore a purchased membership in the App using the purchasing Apple Account and the corresponding Subswell account. Signing out, uninstalling the App, deleting records or deleting your Subswell account does not automatically cancel Apple’s renewal. If you do not want further charges, also cancel renewal with Apple.

When membership expires, existing local records remain and are not deleted for exceeding the free limit. Cloud sync and bill export pause; you cannot add active subscriptions while at or above the free limit. Uploaded account records are retained under the Privacy Policy and are not immediately deleted on membership expiry. Local changes made after expiry will not appear on other devices until membership is restored and sync succeeds.

8. Acceptable use and intellectual property

Do not unlawfully access other people’s accounts, disrupt the service, bypass security measures or use the App for unlawful activities. You retain the applicable rights in the records you enter. We may process them only as necessary to provide services you choose and meet legal duties; entering data does not transfer its ownership to us.

Rights in the App’s software, original interface and content belong to the operator or the relevant rights holders. Open-source components and third-party materials are subject to their applicable licences. This provision does not impose extra restrictions on acts permitted by law.

9. Deletion and termination

Deleted subscription records normally move to “Recently Deleted” first. See the Privacy Policy for the recovery period and treatment of copies. Deleting a record is different from deleting your account; uninstalling the App does not send an account-deletion request to the cloud.

To delete your account, sign in, tap the profile button at the top right, select “Delete account”, then follow the prompts to verify your email and confirm. Deletion removes the account and its associated cloud subscription, payment and plan-change records. Registering with the same email later creates a new account. See the Privacy Policy for backups, service logs and exceptional circumstances.

We may take restrictions proportionate to the risk to maintain security, comply with law or address a serious breach. Where legally permitted and without compromising security, we explain the reason and provide an appeal channel. If we discontinue a service in the ordinary course, we will give reasonable advance notice and explain how records and fees already paid will be handled. We do not use a unilateral right of interpretation to deprive you of statutory or contractual rights you have acquired.

10. Liability and disputes

We will exercise reasonable care in providing and maintaining the service and addressing known defects. Liability imposed on us by law is not automatically waived by expressions such as “as is” or “third-party services”.

These Terms do not exclude or limit liability that cannot legally be excluded or limited, including personal injury liability that cannot be waived, losses caused by intent or gross negligence, and applicable consumer and personal information rights. Disputes about actual third-party charges should be raised with the party to that transaction. If our own fault is involved, we bear responsibility as required by law.

You may first contact subswell@outlook.com to discuss a dispute. Discussion is not a prerequisite to pursuing statutory remedies. You may seek relief from courts or authorities with lawful jurisdiction. These Terms do not impose mandatory arbitration, a class-action waiver or provisions depriving consumers of statutory protections in their region.

11. Young people, changes and languages

The App is for users aged 16 and over and does not provide services to those under 16. Before first using the relevant features, you must confirm your age range; we do not collect a full date of birth or identity documents for this purpose.

If you are 16 or over but cannot independently enter the relevant contract under local law, use the App with a guardian’s guidance and obtain any legally required consent before buying membership. Age confirmation does not replace those legal requirements.

We show the date when these Terms are updated. Material changes affecting your rights will be appropriately notified in advance. We obtain renewed consent where required by law or agreement; silence or continued use does not replace consent that must be obtained. Changes generally do not retroactively alter completed transactions.

Language versions must be substantively consistent. Ambiguities are interpreted according to law; no language-precedence provision reduces rights you have under mandatory laws where you live.
